By accessing or using the LinearPilot platform ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.

If you do not agree to these Terms, you must not access or use the Service. We reserve the right to update these Terms at any time, and your continued use of the Service constitutes acceptance of any changes.

2. Description of Service

• You must provide accurate and complete information when creating an account and keep it up to date.
• You are responsible for maintaining the security of your account credentials, including passwords and API keys.
• You are responsible for all activity that occurs under your account, whether or not you authorized it.
• You must promptly notify us of any unauthorized access or security breach related to your account.
• One person or organization may not maintain more than one free account.

3. User Accounts

You agree to use the Service only for lawful purposes. You must not:

• Violate any applicable laws or regulations
• Interfere with or disrupt the integrity or performance of the Service
• Attempt to gain unauthorized access to the Service or its related systems
• Use the Service to transmit malware, spam, or other harmful content
• Reverse engineer, decompile, or attempt to extract the source code of the Service (except where permitted by law)
• Resell, sublicense, or provide the Service to third parties without our written consent
• Use the AI features to generate content that is illegal, harmful, or violates the rights of others

4. Acceptable Use

4a. Permitted Use

The Service, including its software, design, documentation, and all associated intellectual property rights, is owned by LinearPilot and its licensors. These Terms do not grant you any right, title, or interest in the Service beyond the limited usage rights described herein.

4b. Prohibited Use

You retain all rights to the data and content you upload to or create within the Service ("Your Content"). By using the Service, you grant us a limited license to host, store, and process Your Content solely for the purpose of providing the Service to you.

Your Content remains yours. Where AI features are enabled, Your Content is processed by the providers listed on our Sub-processors page under terms that exclude it from training their models.

5. Intellectual Property

• Paid plans are billed per company on a monthly or annual basis, as selected at the time of purchase.
• All fees are non-refundable except as required by law or as otherwise stated in our refund policy.
• We reserve the right to change pricing with 30 days' notice. Price changes will take effect at the start of your next billing cycle.
• Failure to pay may result in suspension or termination of your account.

6. Payment and Billing

Either party may terminate these Terms at any time. You may terminate by discontinuing your use of the Service and deleting your account. We may suspend or terminate your access if:

• You breach any provision of these Terms
• Your account has been inactive for an extended period
• We are required to do so by law
• We discontinue the Service (with reasonable notice)

Upon termination, you may request export of Your Content for up to 30 days. After that period, we may delete Your Content from our systems.

7. Privacy

TO THE MAXIMUM EXTENT PERMITTED BY LAW, LinearPilot AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE.

Our total aggregate liability for any claims arising out of or related to these Terms or the Service shall not exceed the amount you paid us in the twelve (12) months preceding the claim.

8. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

AI-generated content may contain inaccuracies. You are responsible for reviewing and validating any output generated by the AI features of the Service.

9. Limitation of Liability

These Terms shall be governed by and construed in accordance with the laws of the State of California, United States, without regard to its conflict of laws principles. Any disputes arising from these Terms or the Service shall be resolved exclusively in the state or federal courts located in San Francisco County, California.

10. Indemnification

• Severability: If any provision of these Terms is held invalid or unenforceable, the remaining provisions shall continue in full force and effect.
• Entire Agreement: These Terms constitute the entire agreement between you and LinearPilot regarding the Service.
• Waiver: Failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision.
• Assignment: You may not assign your rights under these Terms without our prior written consent.
